2. Scope
These terms of sale govern online orders of the Inklura Sync subscription on plugins.inklura.fr, placed by customers acting for the purposes of their business. The customer declares having the capacity and, where applicable, the authority needed to bind their company. Webdesign29's website design, hosting, migration or custom development services are covered by a separate agreement.
This offer is intended for businesses. For a personal purchase, contact us before ordering. No provision deprives a customer of mandatory rules that would apply to them because of their status or the circumstances of the sale.
The contract consists of the plan and price accepted at the time of the order, these terms in their version on that date and any special terms agreed in writing. The latter prevail in case of conflict. A later change to this page does not retroactively change a period already subscribed.
3. Offer and licence
Inklura Sync connects a WooCommerce shop to a PrestaShop shop. The subscription includes both modules, a service key, downloads and updates during the subscribed period, and management of activations from the customer area.
- Essentiel: 1 pair of production shops.
- Pro: 1 pair of production shops, with no catalogue size limit, with the support commitment of article 9.
- Agence: on quote, the number of production shop pairs set in the accepted quote, with no catalogue size limit, with the support commitment of article 9. This plan cannot be ordered online.
- Catalogue size: the Essentiel plan is intended for shops of at most 2,000 products each, variations not counted. This is a fair-use rule: the modules neither measure nor block the catalogue size. Beyond it, we may suggest that the customer move to the Pro plan at the next renewal; the current period is neither interrupted nor charged again.
- Development: hosts recognised as local or test hosts are not counted, under the rules set out in the activation documentation.
The key and the customer area credentials must be kept confidential. An agency may manage its clients' shops within the limits of its plan; publishing or reselling a service key is not allowed.
The code and the subscription service are separate. Code distributed under GNU GPL-2.0-or-later keeps the rights granted by that licence, in particular use, study, modification and redistribution. Pair limits apply to the activation and update service; they do not remove the rights attached to the GPL code. The other extensions in the catalogue keep their respective licences.
3a. Guided setup (option)
The guided setup is an optional service, independent of the subscription plan, ordered once and invoiced €600 excl. VAT. It is not included in any plan.
It consists of a one-hour remote session (video call with screen sharing) to install both modules, enter the licence key, connect the shops in audit mode, check the tax configuration and the first snapshots, and prepare the scheduled task (worker) with the customer's host. The slot is agreed by mutual consent within three months of the order and can be moved with at least one working day's notice. If the session cannot take place because of us, the price is refunded.
The customer provides the access needed during the session and remains responsible for their backups. The service includes no specific development, no data migration and no fixing of third-party extensions; going live remains the customer's decision after their own checks.
4. Online order and digital delivery
Orders are placed in French. (The English pages of this website are provided for convenience; the order itself is governed by the French terms.) The customer selects their plan and uses the ordering channel offered on the pricing page. They provide accurate business and billing information. For an order by e-mail, a written summary is sent and the customer's acceptance is obtained before invoicing.
For an order with online payment, the process includes the following steps:
- Choice of plan: check of the features, number of pairs, requirements and limits of the product.
- Summary: check of the yearly term, automatic renewal, price excluding VAT, applicable taxes and total amount to pay. The customer can correct their information or change their choice before final confirmation.
- Acceptance: on the payment page, a mandatory checkbox by which the customer accepts these terms, then explicit confirmation of an order with an obligation to pay. The accepted version is recorded with the order.
- Payment and confirmation: payment on the secure Stripe page, then confirmation of the order and access to the licence from the customer area.
The order is concluded once the payment is validated and its acceptance confirmed. A declined payment or an abandoned process does not activate a new subscription.
Delivery is digital only, with no shipping costs. Access to the customer area relies on an Inklura account (1clic identity service), existing or created from the shop's sign-in page. Once the payment is confirmed, the key and the archives are made available in the customer area. If they do not appear, contact support with the payment reference; never send your password or your card number.
The customer can download the dated copy of the French terms at the top of the French page, save or print them from their browser and keep the confirmations and invoices received. A copy of the version applicable to their order can be requested at contact@inklura.fr. Confirmations, receipts and electronic exchanges constitute evidence, subject to legal rules and proof to the contrary.
5. Prices, payment and invoicing
Prices are those on the pricing page, in euros excluding VAT, for a twelve-month period:

The price of the Agence plan is the one in the quote accepted by the customer; it is invoiced as set out in the quote.
Launch price. The prices above are launch prices. A subscription taken at a launch price keeps it at every renewal, as long as it is not cancelled or moved to another plan. The end of the offer is announced on the pricing page; it only concerns new subscriptions, which then move to the stated regular price.
The guided setup (article 3a) costs €600 excl. VAT, i.e. €720 incl. VAT, paid once when ordering.
French VAT at 20 % is added to the prices excluding VAT of every online order. The amount including VAT is shown on the pricing page and in the summary displayed before the payment is confirmed. Any discounts appear in that summary.
Online ordering is for businesses established in France. A customer established in another European Union member state with a valid EU VAT number, or established outside the European Union, orders by e-mail at contact@inklura.fr in order to be invoiced without French VAT (reverse charge, or a transaction outside the scope of French VAT). If such a customer nevertheless orders online, the French VAT charged is refunded on request together with their VAT number, through a corrective invoice.
Payment is made by bank card, including the digital wallets offered on the Stripe payment page, in full at the start of each yearly period. Card details are entered with the payment provider; they are not stored in the shop's licence database. The licence is issued when Stripe confirms the payment. No discount is granted for early payment, unless agreed in writing.
Each payment gives rise to an invoice showing the seller's EU VAT number and, when the customer entered it on the payment page, their own. Invoices are available from the billing section of the customer area, which also lets the customer update the billing address and VAT number for later invoices.
If a payment is disputed with the bank (chargeback), the corresponding licence is flagged while the dispute is examined, then revoked if the payment is definitively cancelled.
For an overdue and unpaid business invoice, late-payment penalties run from the day after the due date, without prior reminder. The annual rate is the European Central Bank refinancing rate applicable for the half-year, plus 10 points, and no lower than the legal minimum. A fixed recovery fee of €40 is due per late invoice; additional costs may be claimed on proof when the legal conditions are met.

6. Renewal and cancellation
The subscription is concluded for twelve months and renewed automatically for a period of the same length unless cancelled. The applicable dates are shown in the customer area. Cancellation can be requested before the due date from the billing section; if there is any difficulty, a request can be sent to contact@inklura.fr.
Cancellation stops the next renewal and takes effect at the end of the paid period. It does not, on its own, give rise to a pro rata refund of that period. Rights to a refund or to termination arising from the law, from non-performance or from a special agreement remain applicable.
The renewal is charged at the due date to the saved payment method. If this payment fails, the licence is not extended: it remains valid until the end of the paid period, then the grace period described in article 7 applies. It is extended as soon as the payment succeeds.
Changing plans, for example from Essentiel to Pro or Agence, is not offered in the billing section: it is requested at contact@inklura.fr.
The price of a period already paid does not change. Any price change for a later period is communicated before the renewal, leaving the customer free not to renew.
Business purchases and withdrawal
An online purchase made for the purposes of a business does not, as a rule, benefit from the fourteen-day right of withdrawal reserved for consumers. Cancelling the renewal remains possible under the conditions above. Mandatory protections applicable to certain specific situations are preserved, in particular those of article L. 221-3 of the French Consumer Code for off-premises contracts that meet its conditions.
7. Expiry and synchronisation
When the licence expires, new downloads and service updates are no longer available. The installed version provides a 14-day grace period for synchronisation, then a switch to audit mode: events are received and kept in the shops, but are no longer applied.
Returning to an active licence allows sync to resume as documented for the module. A failed payment does not immediately deactivate the plugin. Revoking a key, on the other hand, switches to audit mode with no grace period. An unavailable licence server or a response that cannot be verified does not, on its own, change the synchronisation state.
This mechanism does not deliberately delete shop data. It does not replace backups, nor the monitoring of your servers' queues and resources. The rights to copies of the code obtained under the GPL do not end with the subscription.
8. Installation and compatibility
The customer checks the requirements published on the product page, installs matching versions of both modules and follows the documentation. Before any production synchronisation, they make a backup, run a test in a test environment and check in audit mode.
Compatibility with every third-party extension, customisation or configuration is not assumed. The specific cases published on the product page, in particular regarding KerAwen, multistore, simultaneous stock, tax and some ACF fields, must be reviewed before any purchase.
The customer remains responsible for their configuration choices, the access rights to their shops and the control of their commercial data. An installation, migration or adaptation service is only included if expressly provided for in an accepted quote.
9. Support
Licence questions, access to downloads and bug reports are sent to contact@inklura.fr. State the versions used, the context and the steps to reproduce the problem; mask personal data in the screenshots and logs you send.
Pro and Agence plans. For the Pro and Agence plans, a first reply is given the same day to requests sent to contact@inklura.fr from the customer account's address on a working day (Monday to Friday, excluding French public holidays) before 4 pm Paris time; requests received later or on a non-working day receive a first reply the next working day. This commitment covers the response time, not a resolution time. It does not include work on the customer's servers, specific development or fixing third-party extensions.
Outside the Pro and Agence plans, no commitment to respond or resolve within a set time, no on-call service and no guaranteed availability are included without written agreement. Work in your shops, specific development, training and fixes to third-party extensions require an agreement on their scope and, where applicable, a quote.
10. Warranties and liability
Webdesign29 is answerable for performing its commitments under the conditions provided by applicable law. Installation precautions and compatibility reservations do not release the seller from its legal or contractual obligations.
The modules are neither a backup service nor a guarantee of commercial results. In the event of a malfunction, the parties exchange the information useful for diagnosis and look for a suitable solution. The effects of non-performance and any compensation are assessed under the contract and the rules of ordinary law.
No clause of these terms is intended to exclude a liability that cannot legally be excluded, or to deprive an essential obligation of its substance. The consequences of a force majeure event are those provided by law.
11. Personal data
Benjamin Favre, sole trader under the Webdesign29 trade name, is the controller of the processing related to this shop's customer relationship. It is used to manage the account, licences, invoicing, support and the security of the service.
- Account and invoicing: identity, contact details, 1clic sign-in identifier and Stripe customer, payment and subscription references.
- Licence and security: licence key, hosts of the shops and of their pair, WooCommerce or PrestaShop side, module version, activation and check dates, technical events and associated IP addresses.
- Synchronisation: catalogues, orders and customer contacts are exchanged directly between your shops; they are not sent to the licence service. Documents you choose to send to support are a separate processing.
Depending on the purpose, the processing is based on the performance of the contract or pre-contractual steps, the legal invoicing obligations, or the legitimate interest in securing the service. Recipients include authorised people at Webdesign29 and the providers needed for authentication, payment and hosting. Refusing to provide essential information may prevent the service from being provided.
Account and licence information is kept to manage the contractual relationship. Beyond that, retention is limited to what is needed to meet a legal obligation, handle a claim or defend a right, for the applicable periods. Accounting records and invoicing documents are kept for ten years. Technical data and material sent to support must not be kept beyond what is needed for diagnosis, security and the resolution of the incidents concerned.
Sign-in relies on 1clic and payment on Stripe. When you create an account or sign in with a password from the shop, your e-mail address, name and password are sent to 1clic, which checks them; the shop does not keep your password. The processing carried out by Stripe, including its international transfers and the associated safeguards, is described in its privacy policy. You can obtain details about the recipients of your data and the applicable safeguards by writing to the contact below.
Depending on your situation, you can request access to, rectification, erasure, restriction or portability of your data, or object to certain processing, by writing to contact@inklura.fr. You can also lodge a complaint with the CNIL.
12. Complaints and governing law
For a complaint, write to contact@inklura.fr or to Webdesign29, 5 place de la Liberté, 29200 Brest, France, stating your order reference and the difficulty encountered. Seeking an amicable solution does not deprive you of your remedies and does not automatically suspend legal time limits.
The contract is drawn up in French and governed by French law, subject to applicable mandatory provisions. Failing an amicable agreement, the competent court is determined by the legal rules; these terms impose no exclusive jurisdiction of any particular court.
